This page is solely intended for organizations and professionals seeking to promote or publicize Vitamin Angel Alliance, Inc. (“Vitamin Angels,” “we,” “it,” or “us”). We invite interest from all entities, regardless of whether a prior relationship with Vitamin Angels exists. We want to ensure that our assets, logo, and content are used appropriately to promote our mission. To access our various content, including but not limited to, registered and unregistered trademarks or service marks, proprietary photographs, videos and other content (collectively, the “VA Logo and VA Assets”), complete the form below. Terms of Use for Vitamin Angels’ Logo and Assets
By accessing the VA Logo and VA Assets, you agree to adhere to any usage guidelines, crediting guidelines, or limitations of which we provide you with respect to such materials. You acknowledge that we make no representation of warranty with respect to your use of the VA Logo and VA Assets, or the adequacy of the VA Logo and VA Assets or this agreement for your purposes. You agree that you are solely responsible for determining whether it is necessary or advisable to secure any agreements, releases, or licenses, including with any third parties, in connection with your use of the VA Logo and VA Assets, and you are solely responsible for securing any such additional agreements, releases, or licenses.
1. Acceptance of the Terms of Use.
The terms and conditions of use set out herein (the “Terms”) constitute a legal and binding agreement between you and Vitamin Angels. By downloading or using any VA Logo and VA Assets, you are indicating that you have read these Terms, that you understand them, and that you consent to be bound by the Terms. These Terms set forth your permissions and obligations with respect to your use of any of the VA Logo and VA Assets. If you do not agree to each and all of these Terms, do not download VA Logo and VA Assets, and, for the avoidance of doubt, you are prohibited from downloading or using the VA Logo and VA Assets. By proceeding to download or use any VA logo and VA assets, you are deemed to have consented to abide by the Terms and to have read, understood and agreed to be bound by the terms and conditions of the Download Agreement.
We may from time to time amend, supplement, or modify these Terms. If we make material changes to these Terms, we will post a revised version of these Terms on the website. Notwithstanding the foregoing, it is your responsibility to check the website for these Terms periodically for changes. Your continued use of the VA Logo and VA Assets following the posting of any revised Terms constitutes your acceptance of the revised Terms and your agreement to be bound by the revised Terms. Your use of any and all VA Logo and VA Assets accessed via this website after the posting of any revised Terms will be subject to the revised Terms.
2. License Grant.
Subject to the restrictions contained herein, Vitamin Angels hereby grants you a limited, revocable, non-exclusive, non-assignable, non-transferable, and non-sublicensable right and license to use and display the VA Logos and VA Assets for your purposes.
3. Ownership.
Vitamin Angels remains the sole exclusive owner of all rights, title, and interest in and to the VA Logo and VA Assets.
Your use of VA Logo and VA Assets is for Vitamin Angels’ benefit (and all goodwill shall enure to the benefit of Vitamin Angels) and you will not acquire any rights in any of them by any such use.
Your use of any VA Logo and VA Assets must be accompanied by a statement indicating Vitamin Angels’ ownership.
You agree to not attack, challenge, oppose, petition to cancel, or initiate legal action or proceedings in connection with any of the VA Logo and VA Assets, Vitamin Angels’ ownership of or the validity of any of the VA Logo and VA Assets, any registrations for any of the VA Logo and VA Assets, or any rights therein or thereto.
4. Scope of Use.
You shall not use the VA Logo and VA Assets in any way that would confuse members of the public, consumers, or any individual or entity as to who offers your products and services, or to misrepresent your relationship with Vitamin Angels, or in such a way as to give the impression that the VA Logo and VA Assets are your property.
The VA Logo and VA Assets shall not be used in any manner that may imply that any of your or third-party materials, including but not limited to goods, services, websites, or publications, are sponsored, endorsed, licensed by, or affiliated with Vitamin Angels.
You shall not mimic or make use of any Vitamin Angels product, packaging, design, website, or advertising in any way that may cause confusion as to the source of your or its products and services.
You shall not use the VA Logo and VA Assets in any parody of Vitamin Angels, its products, its trademarks, or other intellectual property.
You shall not use the VA Logo and VA Assets in any way or in connection with any activity that disparages or damages Vitamin Angels, or its reputation or goodwill, or its services, or the quality of VA Logo and VA Assets, or that is in a context otherwise inconsistent with Vitamin Angels’ mission and values.
You shall not use the VA Logo and VA Assets for any commercial purpose. The use of any VA Logo and VA Assets on merchandise (e.g., T-shirts, mugs, etc.) for sale is not allowed.
You shall not use the VA Logo and VA Assets in connection with any campaign activity for or against a political candidate, or in connection with any lobbying activity.
The VA Logo and VA Assets may not be used in any way that is in violation of any applicable laws or governmental regulations.
You shall not use any VA Logo and VA Assets that appears with any other symbol or icon (except the appropriate trademark indicator); is contained within a box, circle, or other shape; or is combined with any other name, logo, or icon to create a co-branded logo (or the appearance thereof) or in any manner which might otherwise create confusion as to the source of those goods and services.
5. Quality Standards.
You acknowledge that the VA Logo and VA Assets have established goodwill and acknowledge the importance of Vitamin Angels’ control over the quality of your use thereof so as to preserve the continued integrity, value and validity of the VA Logo and VA Assets, Vitamin Angels’ intellectual property rights thereto, and to protect the goodwill associated therewith. At any time, upon reasonable request and to the extent necessary to protect Vitamin Angels, its VA Logo and VA Assets and its rights in the same, Vitamin Angels shall have the right to request and receive a sample of any of your use(s) of the VA Logo and VA Assets.
6. Permissible Uses of VA Logo & VA Assets.
You may only use the VA Logo and VA Assets exactly as provided for in this Download Agreement, following the standards outlined below.
6.1 No Recreation.
All VA Logo and VA Assets must be used exactly as provided. The VA Logo & VA Assets may not be recreated or used as versions or copies provided by third parties.
6.2 Limited Modification.
The size of the VA Logo and VA Assets may be modified if and only if the appropriate trademark indicator (™ or ®) remains legible. Other than changing physical size, aspects of the VA Logo and VA Assets may not be modified; such prohibited modifications include, but are not limited to, including text, fonts, colors, or orientation. You may not animate, morph, or in any other way distort the appearance of any of the VA Logo and VA Assets.
6.3 Prominence.
The VA Logo and VA Assets may not be put in a position of greater prominence than your logo or any third-party logo, or in any position that may cause confusion, or may indicate or imply that the webpage, publication, or product is produced by Vitamin Angels.
6.4 Proximity to Other Intellectual Property.
Adequate spacing must be provided between the VA Logo and VA Assets and any surrounding text or other elements. The VA Logo and VA Assets may not be incorporated or used in any manner as part of, or in close proximity to, another company’s name, domain name, product or service name, logo, trade dress, design, slogan, or other trademark in any manner which could confuse the public or consumers as to the source of those goods and services provided by Vitamin Angels, or which could otherwise create confusion as to the relationship between you, any other third party, and/or Vitamin Angels.
7. Relationship Between You and Us.
The permission granted herein does not create an agency, employment, joint venture, or partnership relationship between you and Vitamin Angels. You may not use the VA Logo and VA Assets in any way that might mislead any third parties, agents, successors, or assigns into believing that such a relationship exists.
8. Changes and Objections.
Vitamin Angels reserves the right in its absolute and sole discretion, for any or no reason, to prohibit any use of the VA Logo and VA Assets, to terminate or modify your permission to use or display the VA Logo and VA Assets, and may request that you modify or delete any use of the VA Logo and VA Assets that, in its sole judgment, does not comply with these Terms, or that might otherwise impair its rights in or to the VA Logo and VA Assets or any other intellectual property or proprietary rights, and you agree to immediately comply with such instructions, changes and requests, and/or immediately cease the use or display of such VA Logo and VA Assets.
9. Disclaimer of Warranties.
The VA Logo and VA Assets are provided on an “as is” and “as available” basis without any warranties of any kind. Vitamin Angels, its affiliates, their respective officers, directors, employees, agents, representatives, and licensors (individually “VA party” or collectively, the “VA parties”), disclaim all warranties, including but not limited to, the warranty of title, merchantability, non-infringement of third parties’ rights, and fitness for particular purpose.
10. Limitation of Liability.
In no event shall any VA party be liable for any damages whatsoever (including, without limitation, direct damages, indirect damages, incidental damages, consequential damages, lost profits, exemplary damages, special damages or damages resulting from lost data or business interruption) resulting from your use or inability to use any VA Logo and VA Assets, whether based on warranty, contract, tort (including, but not limited to, negligence), or any other legal theory, even if a VA party has been advised of the possibility or likelihood of such damages. The liability of the VA parties shall be limited to the greatest extent permitted by law. In no event shall the VA parties’ aggregate liability to you exceed one hundred dollars ($100).
11. Indemnification.
You agree to defend, indemnify, and hold harmless the VA Parties, from and against any claims, actions, demands, losses, liabilities, and costs (including, without limitation, reasonable legal and accounting fees) arising out of or resulting from your breach of these Terms, or from your access to, use or misuse of the VA Logo and VA Assets, or your failure to comply with any applicable law or regulation in connection with the VA Logo and VA Assets or this Download Agreement. Vitamin Angels reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting Vitamin Angels’ defense of such matter.
12. Termination of the License.
12.1 Termination
Vitamin Angels reserves the right, in its absolute and sole discretion at any time and for any or no reason, without prior notice or any liability to you, to restrict, suspend, or terminate your access to and your license to use and display the VA Logo and VA Assets. Vitamin Angels reserves the right, in its absolute and sole discretion at any time and for any or no reason and without prior notice or any liability, to change, suspend, or discontinue allowing users to download and/or use VA Logo and VA Assets at any time. Without limiting the foregoing, if you violate any part of these Terms, your license and permission to access and/or use the VA Logo and VA Assets automatically terminates and you agree to immediately cease using any and all VA Logo and VA Assets and immediately destroy any copies of the VA Logo and VA Assets in your possession.
12.2 Survival
If these Terms are terminated, Sections 3, 7, 9, 10, 11, and 12 shall survive the termination of these Terms.
13. General Provisions.
13.1 Governing Law.
These Terms are governed by the internal substantive laws of the State of California, USA, without respect to its conflict of law provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state courts sitting in the County of Santa Barbara in the State of California and the federal courts in closest proximity thereto.
13.2 Injunctive Relief.
You acknowledge that any material breach of the Terms and this Download Agreement will cause Vitamin Angels to suffer irreparable injury for which the recovery of monetary damages will be inadequate and, therefore, Vitamin Angels will be entitled to seek timely injunctive relief to protect its rights, in addition to any and all additional remedies available to it at law, in equity or otherwise.
13.3 Waiver and Severability.
If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. Failure of Vitamin Angels to act on or enforce any Terms or any provision of the Download Agreement shall not be construed as a waiver of that provision or any other provision in these Terms. No waiver shall be effective against Vitamin Angels unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance.
13.4 Entire Agreement.
These Terms constitute the entire agreement between you and Vitamin Angels with respect to the subject matter contained herein, and supersede all previous or contemporaneous agreements, whether written or oral, between you and Vitamin Angels with respect to the subject matter contained herein. The section headings are provided merely for convenience and shall not be given any legal import. These Terms will inure to the benefit of Vitamin Angels’ successors and assigns.
